Terms and Conditions

These Terms and Conditions govern the use, licensing, download, and purchase of software products made available by FractAudio on or through fractaudio.com.

By accessing this website, downloading a trial, creating an account, or purchasing a product, you agree to be bound by these Terms and Conditions.

  1. Supplier Information

FractAudio is the supplier of the software products presented on this website.

  1. Nature of the Product

FractAudio develops and distributes digital audio software, including plug-ins, installers, updates, and related digital content.

All FractAudio products are licensed, not sold.
A purchase grants the customer a personal, non-exclusive, non-transferable licence to use the software in accordance with these Terms.

No ownership in the software, source code, branding, audio processing methods, or intellectual property is transferred to the customer.

  1. Merchant of Record and Checkout

Payments are processed by Lemon Squeezy, which acts as Merchant of Record for transactions completed through its checkout.

This means the customer purchases through Lemon Squeezy’s payment infrastructure, while the software itself is licensed by FractAudio under these Terms.

  1. Licence Grant

Subject to payment where applicable, FractAudio grants the customer a personal, non-exclusive, non-transferable licence to install and use the software for lawful audio production, editing, post-production, mixing, restoration, and related creative or professional purposes.

Unless otherwise stated on the product page:

  • one licence is valid for one user and one activated machine at a time;
  • the licence is perpetual for the purchased major version;
  • minor updates within the same major version are included at no additional cost.
  1. Trial Licence

FractAudio may offer a free trial version of certain products.

For Ambience Cutter:

  • the trial period is 21 days;
  • the trial is issued per machine;
  • FractAudio may limit repeated trial activations;
  • trial access may be modified, suspended, or withdrawn at any time to prevent abuse.

Trial licences are provided solely for evaluation and may not include support, guarantees of continuity, or future compatibility commitments.

  1. Restrictions

The customer may not:

  • resell, sublicense, rent, lease, lend, transfer, or share the software or licence key;
  • reverse engineer, decompile, disassemble, or attempt to extract source code, except where explicitly allowed by mandatory law;
  • bypass, disable, defeat, or tamper with licensing, activation, validation, or security mechanisms;
  • use the software in connection with unlawful activity;
  • remove copyright notices, branding, or proprietary notices.
  1. Accounts, Downloads, and Access

Certain downloads may require account registration or login.
FractAudio may restrict access to downloads, trial installers, updates, or licence services in order to prevent abuse, unauthorized redistribution, or security issues.

The customer is responsible for maintaining the confidentiality of their account credentials.

  1. Updates and Product Changes

FractAudio may release updates, patches, compatibility fixes, and maintenance releases at its discretion.

Minor updates within the same major version are included for valid licence holders unless otherwise stated.
Future major versions may be offered under separate upgrade terms or pricing.

FractAudio does not guarantee that every product will remain compatible with every operating system, DAW version, host application, or third-party environment indefinitely.

  1. Refund Policy

Because FractAudio products may include a full-featured evaluation period before purchase, refunds are generally not offered as a matter of routine once a completed order has been fulfilled.

Exceptions may be made, at FractAudio’s discretion, including:

  • duplicate purchases;
  • confirmed technical failure that prevents reasonable use of the product and is not resolved within a reasonable period;
  • other cases where Lemon Squeezy or applicable law requires a refund.

Nothing in this section limits any non-waivable rights under applicable consumer law.

  1. Disclaimer

The software is provided on an “as is” and “as available” basis.
FractAudio makes no guarantee that the software will be uninterrupted, error-free, or suitable for every workflow, studio environment, operating system, DAW version, or hardware configuration.

The customer is responsible for verifying compatibility before purchase and for testing the software during any trial period made available.

  1. Limitation of Liability

To the maximum extent permitted by law, FractAudio shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation loss of data, loss of sessions, loss of business, loss of income, or interruption of work arising from the use or inability to use the software.

To the maximum extent permitted by law, FractAudio’s total liability arising out of or related to the software shall not exceed the amount actually paid by the customer for the product giving rise to the claim.

Nothing in these Terms excludes liability where exclusion is not permitted by applicable law.

  1. Termination

FractAudio may suspend, revoke, or terminate access to the software, downloads, licences, or related services in the event of:

  • breach of these Terms;
  • abuse of trial or licensing systems;
  • chargeback fraud or payment fraud;
  • unlawful or unauthorized use of the product.

Upon termination, the licence granted to the customer ends immediately.

  1. Intellectual Property

All content, software, visual identity, trademarks, product names, installers, documentation, design elements, and related materials remain the exclusive property of FractAudio or its licensors.

“FractAudio” and “Ambience Cutter” may not be used without prior written permission except to identify the product lawfully purchased or reviewed.

  1. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Italy, without regard to conflict of law principles.

Where permitted by applicable law, the courts of Bologna, Italy shall have exclusive jurisdiction over disputes arising out of or relating to these Terms.
